1. Acceptance of Terms
These Terms of Service ("Terms") govern access to and use of the AI-powered call answering, scheduling, and related services (the "Service") provided by Meliorone LLC, doing business as White Glove Voice ("Company," "we," "us," or "our"), a company organized under the laws of Wyoming, with its principal place of business at 30 N Gould Street, Sheridan, WY 82801. By signing an order form, submitting payment, clicking "I agree," or otherwise accessing or using the Service, the individual or business entity agreeing to these Terms ("Customer," "you," or "your") accepts and agrees to be bound by them. If you are entering into these Terms on behalf of a business, you represent that you have authority to bind that business.
2. Description of the Service
The Service uses artificial intelligence, including third-party voice-synthesis, speech-recognition, and large language model technology, to answer inbound telephone calls on Customer's behalf, converse with callers, gather information, and where configured, check calendar availability and book, reschedule, or cancel appointments on a calendar connected by Customer. The Service may also summarize calls and deliver transcripts or notifications by SMS, email, or other channel.
The Service is a tool that assists with call handling. It is not a certified answering service, a licensed dispatcher, an emergency responder, or a substitute for professional judgment, and Company makes no representation that it will correctly handle every call, caller, or scenario.
3. No Guarantee of Accuracy, Availability, or Outcome — AI Limitations
Customer acknowledges and agrees that: (a) artificial intelligence and voice-recognition technology can misunderstand, mishear, mistranscribe, or otherwise incorrectly process spoken input; (b) the Service may provide inaccurate, incomplete, delayed, or inappropriate responses to callers; (c) the Service depends on third-party telephony carriers, internet connectivity, cloud infrastructure, and third-party AI model providers, any of which may experience outages, degraded performance, or errors outside Company's control; and (d) Company does not guarantee any specific call-answer rate, uptime percentage, booking conversion rate, revenue outcome, cost savings, or other business result from use of the Service. Any statistics, projections, or examples presented to Customer (in sales materials, this website, or otherwise) are illustrative only and are not a promise, warranty, or guarantee of Customer's results.
Customer is solely responsible for monitoring Service performance, reviewing call transcripts and recordings, and promptly reporting any issue. Company's sole obligation on a reported, verified malfunction is to use commercially reasonable efforts to investigate and correct it; Company has no obligation to issue credits, refunds, or damages for any missed, mishandled, or incorrectly routed call except as expressly stated in a separate written agreement signed by Company.
4. Not for Emergencies
THE SERVICE IS NOT A SUBSTITUTE FOR EMERGENCY SERVICES AND MUST NOT BE RELIED UPON TO HANDLE CALLS INVOLVING IMMINENT THREAT TO LIFE, HEALTH, OR PROPERTY. Customer is solely responsible for instructing callers, through its own signage, voicemail, website, or other means, to dial 911 (or the applicable local emergency number) directly for any emergency, and for configuring any emergency-routing behavior of the Service at its own risk. Company disclaims all liability for any delay, failure, or mishandling of an emergency-related call by the Service.
5. Customer Accounts, Fees, and Payment
Customer agrees to provide accurate account and billing information and to keep it current. Fees are as set out in the applicable order form, pricing page, or invoice, billed in advance on a monthly (or other agreed) cycle, exclusive of applicable taxes, which Customer is responsible for. Usage beyond included call minutes is billed per-minute at the then-current published or quoted overage rate. Late or declined payments may result in suspension of the Service without further notice. All fees are non-refundable except as required by law or expressly agreed in writing.
6. Term, Cancellation, and Suspension
Unless a separate signed agreement states otherwise, the Service is provided on a month-to-month basis. Either party may cancel at any time, effective at the end of the then-current billing cycle; cancellation does not entitle Customer to a refund of fees already paid for that cycle. Company may suspend or terminate the Service immediately, without liability, if Customer fails to pay amounts due, breaches these Terms, uses the Service for an unlawful or abusive purpose, or if continued provision of the Service would expose Company to legal or regulatory risk.
7. Customer Responsibilities and Acceptable Use
Customer is solely responsible for: (a) the accuracy of the business information, scripts, pricing, service offerings, and instructions provided to configure the Service; (b) ensuring the Service's use complies with all applicable laws, including telecommunications, consumer protection, call-recording, and do-not-call/anti-spam laws such as the Telephone Consumer Protection Act (TCPA) and equivalent state and international laws; (c) obtaining any consents required from callers or recipients of SMS/email communications generated through the Service; and (d) all content, instructions, and data Customer submits to the Service. Customer agrees not to use the Service to: engage in fraud, harassment, or deceptive practices; impersonate any person or entity; violate any third party's rights; or interfere with or disrupt the Service's infrastructure.
8. Call Recording, Transcription, and Consent
The Service may record and transcribe calls for quality, training, and operational purposes. Customer is solely responsible for complying with all applicable call-recording consent laws, including "two-party" or "all-party" consent requirements in effect in Customer's jurisdiction and the jurisdictions of Customer's callers, and for ensuring any required recording disclosure is delivered to callers (whether through the Service's own disclosure prompt, Customer's own greeting, signage, or otherwise). Company is not responsible for Customer's failure to obtain or provide any required consent or disclosure.
9. Third-Party Services and Integrations
The Service relies on and integrates with third-party providers, including but not limited to voice-AI platforms, telephony carriers, calendar and CRM systems (e.g., GoHighLevel), and SMS/email delivery providers. Company is not responsible for the acts, omissions, outages, policy changes, or pricing changes of any third-party provider, and Customer's use of such third-party services remains subject to that provider's own terms and privacy policy.
10. Intellectual Property
Company retains all right, title, and interest in and to the Service, including all underlying software, agent configurations, prompts, scripts, documentation, and technology, excluding Customer-specific business information Customer provides. Customer is granted a limited, non-exclusive, non-transferable, revocable right to use the Service during the term of these Terms, solely for its own internal business purposes. Customer grants Company a license to use Customer-provided business information solely to configure, provide, and improve the Service for Customer.
11. Confidentiality and Data
Each party agrees to protect the other's confidential information with reasonable care and to use it only as necessary to perform under these Terms. Handling of caller and Customer personal data is further described in our Privacy Policy, which is incorporated into these Terms by reference.
12. Disclaimer of Warranties
EXCEPT AS EXPRESSLY STATED IN A SIGNED WRITTEN AGREEMENT, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ACCURATE, OR ERROR-FREE. COMPANY DOES NOT WARRANT THAT THE SERVICE WILL MEET CUSTOMER'S REQUIREMENTS OR PRODUCE ANY PARTICULAR BUSINESS RESULT.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) COMPANY, ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES; AND (B) COMPANY'S TOTAL AGGREGATE LIABILITY FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE TOTAL FEES ACTUALLY PAID BY CUSTOMER TO COMPANY IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. THESE LIMITATIONS APPLY REGARDLESS OF THE LEGAL THEORY ASSERTED, INCLUDING CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE.
14. Indemnification
Customer agrees to defend, indemnify, and hold harmless Company and its owners, officers, employees, and contractors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) Customer's use or misuse of the Service; (b) Customer's content, instructions, scripts, or business information provided to the Service; (c) Customer's violation of any law, including call-recording consent or anti-spam/TCPA laws; (d) Customer's violation of these Terms; or (e) any dispute between Customer and a caller or third party arising from a call or appointment handled by the Service.
15. Force Majeure
Company will not be liable for any failure or delay in performance caused by events beyond its reasonable control, including acts of God, internet or telecommunications failures, third-party AI model or infrastructure outages, labor disputes, governmental action, or other similar causes.
16. Dispute Resolution; Arbitration; Class Action Waiver
Any dispute arising out of or relating to these Terms or the Service shall first be addressed through good-faith informal negotiation. If not resolved within thirty (30) days, the dispute shall be resolved by binding, individual arbitration administered under the rules of a mutually agreed arbitration body, conducted in the venue set out in these Terms, rather than in court, except that either party may bring an individual claim in small-claims court where available. CUSTOMER AND COMPANY EACH WAIVE ANY RIGHT TO A JURY TRIAL AND ANY RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE PROCEEDING. Nothing in this section prevents either party from seeking injunctive relief in court for misuse of intellectual property or confidential information.
17. Governing Law and Venue
These Terms are governed by the laws of Wyoming, without regard to conflict-of-laws principles, and any proceeding not subject to arbitration above shall be brought exclusively in the state or federal courts located in that jurisdiction.
18. Changes to these Terms
Company may update these Terms from time to time by posting a revised version with an updated "Last updated" date. Continued use of the Service after a change becomes effective constitutes acceptance of the revised Terms. Material changes will be communicated to active Customers by email or through the Service where practicable.
19. Miscellaneous
These Terms, together with any order form and the Privacy Policy, constitute the entire agreement between Customer and Company and supersede all prior agreements regarding the Service. If any provision is held unenforceable, the remaining provisions remain in full force. Company may assign these Terms in connection with a merger, acquisition, or sale of assets; Customer may not assign these Terms without Company's prior written consent. No waiver of any provision is effective unless in writing.
